一、私人有限公司的简介与优势 Introduction & Features：

私人有限公司是印度应用最广泛的一种公司形式，得益于印度法律法规其具有以下几点优势：

(1)允许债务作为公司资产，且可发行债券并接受公众存款作为公司资本；

(2)股东所承担的责任仅限于其在公司的所占股份份额；

(3)相比其它类型公司，其更容易从金融机构融集资金；

(4)公司内部人员可具有多重身份，股东、董事、普通员工可为同一人;

(1) Private limited companies are one of the most widely used corporate forms in India. Based on

Indian laws and regulations, they have the following advantages:

(2) Allow debt as corporate assets, and issue bonds and accept public deposits as corporate

capital;

(3) Shareholders' liability is limited to their share of the company's shares;

Compared with other types of companies, it is easier to raise funds from financial institutions;

(4) The company's internal personnel can have multiple identities, and shareholders, Directors

and ordinary employees may be the same person.

二、合规标准 Eligibility Criteria:

1)至少需要 2 名董事，其中一名必须为常驻董事， 常驻董事可以是印度籍，也可以是上一

自然年内注满印度 182 天的外籍，需提供注满证明 A minimum of two directors are required,

at least one of whom must have lived in India for more than 182 consecutive days throughout

the nature year (may be non-Indian)；

2)至少需要 2（两）名股东，可以是印度人或外国人，也可以是在印度或国外正式注册的任

何其他法律实体 A minimum of 2 shareholders, either Indian or foreign, or any other legal entity

duly registered in India or abroad;

三、印度公司注册所需材料 Required Documents：

1）注册印度公司申请文件（我司提供，需印度驻中国使领馆认证）Application documents for

registering an Indian company (provided by our company and requiring the certification of

the Indian Embassy or Consulate in China)；

2）两名董事护照及个人信息，其中至少一名董事需在上个自然年连续居住印 182 天以上（可

以是非印度籍）Two directors' passports and personal information, at least one of whom

must have lived in India for more than 182 consecutive days throughout the natural year

(could be non-Indian)；

3）两名股东的身份证明及其他信息（自然人股东提供护照，法人股东提供英文版营业执照）

（须印度驻中国使领馆认证）Identification of the two shareholders and other information

(individual shareholders provide passports, corporate shareholders provide English business

licenses) (requires certification by the Indian Embassy or Consulate in China)；

4）两名股东及两名董事的个人住址证明（最新电话账单/银行账单/电费单，三选一；需印

度驻中国使领馆认证）Personal address proof of two shareholders and two directors (latest

telephone bill / bank bill / electricity bill, one of three choices; certification by the Indian

embassy or consulate in China)；

5）两名股东及两名董事的照片电子版（护照尺寸）Electronic version of photos of two

shareholders and two directors (passport size)；

6） 注册资金要求不低于 10 万卢比(约合 1 万人民币) Minimum registered capital (usually

100,000 rupees, about 10,000 RMB)；

7）公司注册地址（如向我司购买注册地址，则无需提供）Registered address of the company

(no need to provide if the registered address is purchased from our company)；

提供以下文件 Provide following Documents：

1）租房证明-租房协议 Proof of rental agreement  

房屋所有证明（董事/亲属）

-注册证明/房产税收据凭证 Proof of ownership of the house

(director / relative)-proof of registration / property tax receipt.

2）近期电费单/水费单/天然气账单/移动电话费账单 Recent electricity bill / water bill / natural

gas bill / mobile phone bill；

3） 房屋产权所有者对任一董事出具的不反对证明（NOC）Certificate of No Objection (NOC)

issued by the owner of the property to any director；

四、印度公司注册流程及时限 Registration Procedure：

办理时限：30-40 个工作日（不包括国内翻译，双认证，资料收集及邮寄时间）Timeframe: 30-40

working days (excluding translation, notary and Apostille, data collection and mailing time)

1:客户提交注册公司所需材料 Client provide required materials for registration company；

2:办理公司注册手续 Apply for company registration；

1）制作电子签名 DSC apply an electronic signature DSC；

2）办理董事身份代码 DIN Apply for director's identity code DIN；

3）起草公司组织大纲/公司组织章程 MOA/AOA，Draft the company's organization

outline / company's constitution MOA / AOA；

4）公司名称核准 Company name approval；

5）办理公司营业执照 COI， Apply for a company business license COI；

6）申请 PAN&TAN Apply for PAN & TAN；

7）银行开户（需要董事本人到场，如聘用印度人则由印度人到场即可）Bank account

opening (requires the presence of the director himself, if the Indian is employed, the

Indian can be present)；

8）注资并将国外汇入款凭证交至印度储备银行 Capital injection and transfer of foreign

exchange deposit receipts to the Reserve Bank of India；

9）税务登记 GST registration；

10）申请商店及商业机构登记证 Apply for Shop and Establishment certificate；

3:注册完成，移交公司证照 Registration is completed and company certificate is handed over；

五、印度公司注册完成所获公司证照 Handover Documents：

1） 公司营业执照 Certificate of Incorporation；

2） 公司组织大纲/公司组织章程 MOA/AOA；

3） 董事认证代码 DIN；

4） 电子签名 DSC；

5） 永久税户 PAN (Permanent Account Number)；

6） 扣税账号 TAN (Tax Deduction Account Number) ；

7） 商品及服务税号 GST；

8）商店和商业机构登记证 Shop and Establishment；
