Project Office Registration Service Plan

一、项目办公室简介和优势Introduction & Features:

项目办公室(PO)指代表在印度执行项目的外国公司利益的营业地点，当外国公司获得印度当地政府或印度企业的项目或订单时可以在印度设立一个项目办公室。从一家印度公司获得一份项目合同来执行一个项目,需要从印度储备银行(RBI)获得相关许可，随后可与公司事务部门户网站登记注册该项目办公室。Project Office (PO) means a place of business to represent the interests of the foreign company executing a project in India but excludes a Liaison Office. A Foreign Company / Corporation can establish a Project Office in India provided they have secured a contract from an Indian company to execute a project in India and thereby obtaining permission from the Reserve Bank of India (RBI) through AD category 1 Banker and subsequently registering it with the office of Registrar of Companies (ROC).  

在印度设立项目办公室需要两个步骤Two Step procedure for establish a PO in India：

a.通过AD Bank获得RBI批准; Getting the RBI Approval through AD Bank;

b.在公司事务门户网站注册成立项目办公室; Establishment / Registration of PO with the office of ROC on Ministry of Corporate Affairs Portal;

二、合格标准Eligibility Criteria:

1）需要一名董事，需有 PAN 和印度地址(中国人和印度人都可以) A director is required with PAN and Indian address (both Chinese and Indian are allowed)；

2)母公司连续三年盈利(需提供审计报告并做公证双认证) The parent company has made profits for three consecutive years (audit report shall be provided and notarized and apostille)；

3)母公司净值 5，0000 美金(需提供银行文件证明) Net value of the parent company is USD 5,0000 (bank documents are required)；

注：若提供的董事是中国人，需每年在印度居住182天以上，并有PAN 卡 Note: if the directors are Chinese, they need to live in India for more than 182 days in last  natural year and have PAN Card.

三、印度项目办注册所需材料Required Documents：

1）董事的个人信息、 PAN Card扫描件和印度地址证明Personal information of the director, scanning copy of PAN Card and Indian address proof；

2）注册申请签字文件（需公证双认证）Signed documents for registration application (notarized and Apostille)；

3）母公司银行提供的资金证明英文版及银行相关信息（需公证双认证）Proof of fund provided by the parent company’s bank in English version and relevant bank information ((notarized and Apostille)；

4）母公司营业执照、公司章程英文版及母公司主营业务内容简介（需公证双认证）Business license of the parent company, articles of association of the company in English and brief introduction to the main business of the parent company ((notarized and Apostille)；

5）项目协议及项目详细介绍（我司可协助）project agreement and detailed introduction (our company can assist)；

6）印度办公室的地址（如向我司购买注册地址，则无需提供）India office address

1) 提供以下其中之一即可: provide one of the following:

a：租房证明-租房协议proof of rental - rental agreement；

b：房屋所有证明（董事/亲属）-注册证明/房产税收据凭证 proof of ownership (director/relative)/certificate of registration；

2)近期电费单/水费单/天然气账单/移动电话费账单electricity bill/water bill/gas bill/mobile phone bill；

7）房屋产权所有者对任一董事出具的不反对证明（NOC）NOC issued by the owner of the property right to any director;
